3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information required for project completion.
- Ensuring timely feedback and approvals as needed.
Any delays or additional costs due to incomplete or inaccurate information may result in extra charges.
4. Payment Terms
- Deposits: A 50% deposit of the total project cost is required before work begins.
- Milestone Payments: Additional payments may be required at key project milestones, as specified in the service agreement.
- Final Payment: The remaining balance is due upon project completion and before final deliverables are released.
- Late Payments: A fee of 5% of the outstanding amount per week may be applied to late payments.
5. Intellectual Property
- Ownership: Upon full payment, the client owns the final deliverables (e.g., website, app, or marketing materials).
- Third-Party Tools: Any third-party tools, plugins, or software used remain subject to their own licensing terms.
- Source Code: Source code will be provided only if explicitly stated in the service agreement.
6. Confidentiality
Both OrcaOps and the client agree to keep confidential any proprietary or sensitive information shared during the project, including business strategies, client data, and project details.
7. Project Timeline
Project timelines are estimates and may vary due to:
- Client feedback delays
- Scope changes
- Unforeseen technical issues
OrcaOps will strive to meet agreed-upon deadlines but is not liable for delays beyond our control.
8. Revisions and Changes
- Included Revisions: Each project includes a set number of revisions, as outlined in the service agreement.
- Additional Revisions: Changes beyond the included revisions may incur additional fees.
- Scope Changes: Any changes to the project scope must be agreed upon in writing and may adjust the timeline and cost.
9. Warranty and Support
- Warranty Period: A 30-day warranty is provided after project completion to fix bugs or issues tied to the original scope.
- Ongoing Support: Additional support or maintenance requires a separate agreement.
10. Limitation of Liability
OrcaOps is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claim will not exceed the amount paid by the client for the services.
11. Termination of Services
Either party may terminate the service agreement with 30 days’ written notice. The client is responsible for payment for all work completed up to the termination date.
12. Governing Law
These Terms are governed by the laws of the United States and the state where OrcaOps is headquartered. Disputes will be resolved in the courts of that jurisdiction.
13. Changes to Terms
OrcaOps may update these Terms at any time. Clients will be notified of significant changes, and continued use of our services indicates acceptance of the updated Terms.
